ProveNote Inc. - Gentle CoParent App

1. Agreement to Terms

By downloading, accessing, or using the Gentle CoParent mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

hese Terms constitute a legally binding agreement between you ("User" or "you") and ProveNote Inc. ("Company," "we," "us," or "our").

2. Description of Service

Gentle CoParent is a mobile application that is fully owned, developed, and operated by Provenote Inc. The App is designed to help co-parents maintain organized records and reflect on their experiences. The App provides the following features:

  • Personal Record Keeping: Create and maintain notes and timelines for your personal records
  • Pattern Tracking: Track patterns or incidents over time through organized data entry
  • AI Sounding Board: Chat with a custom AI assistant designed to help you reflect and process thoughts (not to provide legal, medical, or professional advice)
  • Media Library: Maintain a private library of pictures and videos

3. User Accounts and Registration

3.1 Account Creation

To use the App, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials

3.2 Age Requirements

You must be at least 18 years old to use this App. By using the App, you represent that you meet this age requirement.

3.3 Account Security

You are solely responsible for all activities that occur under your account. Notify us immediately of any unauthorized use of your account. Contact support@gentlecoparent.com

4. Acceptable Use

4.1 Permitted Uses

You may use the App only for lawful purposes and in accordance with these Terms. The App is intended for personal record-keeping and reflection related to co-parenting situations.

4.2 Prohibited Uses

You agree NOT to:

  • Use the App for any unlawful purpose or illegal activity
  • Harass, threaten, or intimidate others
  • Upload content that is defamatory, obscene, or infringes on others' rights
  • Attempt to gain unauthorized access to the App or other users' accounts
  • Use the App to create records with the intent to deceive or misrepresent facts
  • Share login credentials with others
  • Reverse engineer, modify, or create derivative works of the App

4.3 Child Content Sharing

We do not knowingly share any content involving children. However, you are solely responsible for any child-related content you choose to upload or store.

5. AI Assistant and Limitations

5.1 Nature of AI Service

The AI assistant feature is designed as a reflective tool and sounding board. It uses artificial intelligence to provide responses based on your input

5.2 Important Limitations

The AI assistant does not provide:

  • Legal advice or legal opinions
  • Medical advice or medical diagnoses
  • Professional counseling or therapy
  • Recommendations for specific legal actions
  • Predictions about legal outcomes

5.3 No Professional Relationship

Use of the AI assistant does not create any attorney-client, doctor-patient, or therapist-client relationship. For professional advice, consult appropriate licensed professionals.

6. Content and Data

6.1 Your Content

You retain ownership of all content you create, upload, or store in the App ("User Content"). This includes notes, timelines, photos, videos, and other materials.

6.2 Content Responsibility

You are solely responsible for your User Content and must ensure it is accurate, lawful, and does not violate others' rights.

6.3 Content Storage and Backup

While we implement reasonable security measures, you are responsible for maintaining your own backups of important content. We recommend regularly exporting or backing up critical information.

6.4 Child-Related Content and Parental Responsibility

IMPORTANT: You are solely responsible for any content involving children that you upload, store, or share through the App.

6.4.1 Parental Consent and Authority

By uploading any photos, videos, or information about children to the App, you represent and warrant that:

  • You are the parent or legal guardian of any child depicted or referenced
  • You have full legal authority to share such content
  • You have obtained any necessary consents from other parents or guardians
  • You comply with all applicable privacy laws regarding children's information

6.4.2 Company Disclaimer for Child Content

PROVENOTE INC. EXPRESSLY DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR:

  • Any photos, videos, or personal information about children uploaded to the App
  • The appropriateness, legality, or safety of child-related content
  • Any disputes between parents or guardians regarding shared content
  • Compliance with child privacy laws (such as COPPA) related to your uploads
  • Any harm, disclosure, or misuse of child-related content you choose to store

6.4.3 Child Safety and Content Guidelines

While we are not responsible for monitoring your content, we expect users to:

  • Only upload content of children for whom they have proper authority
  • Avoid sharing identifying information that could compromise a child's safety
  • Use appropriate judgment regarding what content to store digitally
  • Comply with all applicable laws regarding children's privacy and safety

6.4.4 Content Removal

We reserve the right to remove any content at our sole discretion, but we have no obligation to monitor, review, or remove child-related content uploaded by users.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.1 Data Security

We implement appropriate technical and organizational measures to protect your data, but cannot guarantee absolute security.

7.2 Data Retention

We retain your data for as long as your account is active or as needed to provide services, comply with legal obligations, or resolve disputes.

8. Subscription Terms and Billing

8.1 Subscription Plans

The App offers premium features through subscription plans, including monthly and annual options. Subscription details, pricing, and features are described in the App and may be updated from time to time.

8.2 Auto-Renewal

ALL SUBSCRIPTIONS AUTOMATICALLY RENEW at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged the then-current subscription price for each renewal period.

8.3 Billing and Payment

  • Apple pay is used for the transaction and subscription is managed by Stripe
  • Monthly subscriptions are billed every month on the anniversary of your initial subscription date
  • Annual subscriptions are billed every year on the anniversary of your initial subscription date
  • Payment will be charged to your chosen payment method (credit card, Apple Pay, etc.)
  • You are responsible for keeping your payment information current

8.4 Cancellation and Auto-Renew Management

  • To cancel auto-renewal: Access the subscription settings within the App and follow the cancellation instructions
  • For Apple Pay subscriptions: You must manage your subscription through your Apple ID account settings, not through the App
  • Cancellation must be completed at least 24 hours before your next billing date to avoid being charged for the next period
  • Your subscription will remain active until the end of the current billing period, even after cancellation

8.5 No Refunds Policy

WE DO NOT PROVIDE REFUNDS OR PARTIAL REFUNDS: for subscription fees under any circumstances, including: cancellation instructions Unused portions of subscription periods

  • Dissatisfaction with the service
  • Failure to cancel before renewal
  • Technical issues or service interruptions
  • Account termination or suspension

8.6 Price Changes

We reserve the right to change subscription pricing at any time. Price changes will apply to new subscriptions and renewals occurring after the effective date of the price change. We will provide reasonable notice of price increases.

8.7 Subscription Termination

If your subscription is terminated (by you or us), you will lose access to premium features but may continue to access your data and download incidents. You will lose the ability to see our guidance, access the chat, create new incidents, and update previous incidents.

9. Intellectual Property

9.1 App Ownership

The App, including its software, design, content, and trademarks, is owned by Provenote Inc. and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the App for personal purposes in accordance with these Terms.

10. Disclaimers and Limitations

10.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. The App may be temporarily unavailable due to maintenance, updates, or technical issues.

10.2 "As Is" Disclaimer

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVENOTE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP.

11. Legal Matters and Records

11.1 Not Legal Evidence

Content created in the App is for your personal records only. We make no representations about the admissibility or legal value of such records in any legal proceedings.

11.2 Legal Compliance

You are responsible for ensuring your use of the App complies with all applicable laws and regulations in your jurisdiction.

12. Account Termination

12.1 Termination by You

You may terminate your account at any time by following the account deletion process in the App settings.

12.2 Termination by Us

We may suspend or terminate your account if you violate these Terms, engage in harmful behavior, or for other legitimate business reasons.

12.3 Effect of Termination

Upon termination, your right to use the App ceases, and we may delete your account and associated data after a reasonable period.

13. Updates and Changes

13.1 App Updates

We may update the App periodically to improve functionality, security, or compliance. Some updates may be required to continue using the App.

13.2 Terms Updates

We may modify these Terms from time to time. We will notify users of material changes through the App or email. Continued use after changes constitutes acceptance of the updated Terms.

15. Legal Provisions

15.1 Governing Law

These Terms are governed by the laws of Florida, USA, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or the App shall be resolved through arbitration in Lake County Florida, USA.

15.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

15.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Provenote Inc. regarding the App.

By using the Gentle CoParent app, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
